I have a need to match the UVlayout onto an existing "texture" (picture)
So I would like to have the image be my background in UV space so I can move/size/align the shells to this. (sort of like painting first and UV's second..if that makes more sense... |

Yep, that's the Trace button under the Display panel. Click on it to select the image, and the two sliders control the transparency of the background image and the flattened polys.
