So i am upgrading to a 64bit engine... running xp64....

This app will run fine on that... do i need 64bit drivers for my dongal and a new version of the application install?

You should be fine. I use a 64bit laptop here for compatibility testing, and UVLayout itself and the dongles work fine under both XP and Vista.
